Terms of Use

These Terms of Use (“Terms”) are a legally binding agreement between Sideeye (“we,” “us,” or “our”), and each person or entity accessing or using sideeye.company and its related products, reports, software, and services (collectively, the “Service”).

BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, REQUESTING A REPORT, OR PURCHASING A SUBSCRIPTION, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1.Eligibility and Authority

You represent that you are at least 18 years old, legally capable of entering into these Terms, and permitted by applicable law to use the Service. If you act for an entity, you represent and warrant that you have authority to bind that entity.

You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction.

2.Service; No Reliance

Sideeye provides commercial competitive-intelligence tools that collect, organize, analyze, and present information concerning brands, businesses, products, and commercial social-media accounts.

The Service is informational only. It does not constitute legal, financial, tax, investment, marketing, advertising, strategic, or other professional advice. You remain solely responsible for all decisions and actions taken in reliance on the Service.

Sideeye may use third-party data sources and artificial intelligence. Data and outputs may be delayed, incomplete, unavailable, estimated, inaccurate, inconsistent, or erroneous. You must independently verify all information before relying on it.

3.Accounts and Acceptable Use

You are responsible for safeguarding your credentials, devices, and account, and for all activity occurring through your account. You must promptly notify Sideeye of suspected unauthorized access.

You shall not, directly or indirectly:

  • use the Service unlawfully or abusively;
  • monitor, profile, harass, stalk, doxx, intimidate, or surveil private individuals;
  • infringe any intellectual-property, privacy, confidentiality, contractual, or other right;
  • share, sell, transfer, or resell account access contrary to your plan;
  • scrape, copy, harvest, reverse engineer, bypass, probe, interfere with, or systematically extract the Service;
  • circumvent technical, payment, authentication, rate-limit, or plan restrictions;
  • introduce malicious code or conduct unauthorized security testing; or
  • use Service data or reports to create a competing database, data product, or competitive-intelligence service.

Sideeye may refuse monitoring requests that present legal, security, reputational, operational, or abuse-related risk.

4.User Information

You represent and warrant that all information you submit is accurate and that you possess all rights, permissions, and lawful bases necessary to submit it.

You grant Sideeye a worldwide, non-exclusive, royalty-free license to use, process, reproduce, and transmit such information solely as necessary to operate, secure, maintain, improve, and provide the Service.

5.Third-Party Content and Platforms

Third-party content, trademarks, logos, images, videos, and other materials remain the property of their respective owners. Sideeye is not affiliated with, endorsed by, or authorized by any third-party platform unless expressly stated otherwise.

Third-party platforms may alter their policies, APIs, data, metrics, or access at any time. Sideeye may modify, suspend, replace, or discontinue support for any data source or platform without liability.

6.Subscriptions, Billing, Cancellation, and Refunds

Paid plans, pricing, currency, billing interval, functionality, and renewal terms will be disclosed at checkout. Unless expressly stated otherwise, subscriptions renew automatically until cancelled.

By purchasing a recurring plan, you authorize the applicable payment provider or merchant of record to charge your payment method at each disclosed renewal interval.

You may cancel through the available cancellation mechanism. Cancellation prevents future renewals but does not reverse completed charges; access ordinarily continues through the end of the current paid period.

Except where required by law, payments are final and non-refundable, including for unused time or lack of use. Sideeye may offer promotional pricing or differing commercial terms to different users and may modify pricing for future purchases.

Payments may be processed by Dodo Payments or another merchant of record, whose separate terms and procedures may apply.

7.Intellectual Property and Reports

Sideeye retains all right, title, and interest in the Service, including its software, methods, analytics, scoring, report structure, designs, trademarks, and related intellectual property.

Subject to these Terms, Sideeye grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use reports generated for your account for legitimate internal business purposes and, where appropriate, to present them to clients or advisers.

You may not sell, sublicense, commercially redistribute, or systematically aggregate reports or Service output without Sideeye’s prior written consent.

8.Suspension, Modification, and Termination

Sideeye may modify, restrict, suspend, or terminate the Service or your access at any time, including for non-payment, suspected fraud, misuse, breach of these Terms, legal obligations, security concerns, or risk to Sideeye or third parties.

Sideeye provides no service-level agreement, uptime commitment, or guarantee of uninterrupted availability.

9.Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” SIDEYE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, AND ERROR-FREE OPERATION.
SIDEYE DOES NOT WARRANT THAT THE SERVICE, DATA, METRICS, REPORTS, OR AI OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR AVAILABLE.

10.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEYE, IE RAFAYEL KHACHATRYAN, AND THEIR SERVICE PROVIDERS, CONTRACTORS, AGENTS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY.
SIDEYE’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) USD $100.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

11.Indemnification

To the extent permitted by law, business users shall defend, indemnify, and hold harmless Sideeye and its personnel from claims, damages, liabilities, and reasonable professional fees arising from their unlawful use of the Service, breach of these Terms, submitted information, infringement of third-party rights, or misuse or unauthorized redistribution of Service data.

12.Privacy; Changes; Governing Law

Personal-information processing is governed by the Sideeye Privacy Policy.

Sideeye may amend these Terms from time to time. The updated version becomes effective on its stated “Last Updated” date, subject to any notice or consent required by applicable law.

These Terms are governed by the laws of the Republic of Armenia. Before commencing proceedings, the parties shall attempt in good faith to resolve disputes informally for 30 days after written notice.

Except where prohibited by mandatory consumer law, unresolved disputes shall be finally resolved by arbitration administered by the Arbitration and Mediation Center of Armenia, seated in Yerevan, Armenia, in English, before one arbitrator. Either party may seek interim or protective relief from a competent court. Mandatory consumer rights remain unaffected.

13.General

You may not assign these Terms without Sideeye’s prior written consent. Sideeye may assign them in connection with a merger, financing, restructuring, or sale of business or assets.

If any provision is unenforceable, it shall be enforced to the maximum lawful extent; the remaining provisions remain effective. Failure to enforce any right is not a waiver.

These Terms, the Privacy Policy, and any applicable checkout or feature-specific terms constitute the entire agreement between you and Sideeye regarding the Service.
